CyclePass User Agreement

This User Agreement sets out the terms that apply when you use the CyclePass mobile app.
CyclePass is operated by Breez Technology Limited, trading as CycleSaver, a company registered in England and Wales under company number 13916877. Our registered office is Downside, 8–10 St. John's Avenue, London, England, SW15 2AE.
In this User Agreement:
- “CyclePass”, “CycleSaver”, “we”, “us” or “our” means Breez Technology Limited;
- “you” or “your” means the person using the CyclePass app; and
- “Provider” means any third-party bike-share, e-bike-share, scooter-share or mobility provider whose services can be accessed through CyclePass.
By using CyclePass, creating an account, accessing a voucher, or redeeming a voucher code or redemption link, you agree to this User Agreement.
If you do not agree to this User Agreement, you should not use CyclePass.
1. What CyclePass is
CyclePass is a mobile app that allows users to receive, access and redeem cycling-related benefits. These may include voucher codes, redemption links, ride minutes, subscriptions, passes, credits or other benefits for use with third-party Providers.
CyclePass may be used by:
- employees whose employer provides CyclePass as a staff benefit;
- users who receive a voucher, pass, credit or promotion from CycleSaver;
- users who access CyclePass through a benefits platform or partner organisation; or
- any other users we allow to access the app.
CyclePass does not operate bikes, e-bikes, scooters, docking stations, vehicles or transport services. Those services are provided by third-party Providers.
2. Third-party Providers
The benefits made available through CyclePass may be redeemed with third-party Providers, such as bike-share, e-bike-share, or other mobility operators.
Your use of any Provider's app, vehicles, passes, subscriptions, minutes, credits or services will be subject to that Provider's own terms and conditions, privacy policy, safety rules, pricing rules and eligibility requirements.
You are responsible for reading and complying with the relevant Provider's terms before using their services.
We are not responsible for:
- the availability of any Provider's bikes, e-bikes, scooters, vehicles or services;
- the condition, quality, safety or operation of any Provider's vehicles;
- the Provider's app, account system, payment system or customer support;
- any separate charges, fees, fines, penalties or usage rules applied by a Provider;
- any accident, injury, loss, theft, damage, penalty or claim arising from your use of a Provider's services; or
- any change, suspension or withdrawal of a Provider's services.
3. Eligibility
To use CyclePass, you must:
- be at least 18 years old, unless we expressly allow otherwise;
- be legally capable of entering into this User Agreement;
- provide accurate, complete and up-to-date information;
- use CyclePass only for lawful purposes;
- keep your account and device secure; and
- comply with this User Agreement.
Providers may have their own eligibility requirements, including age, location, identity, account, payment method, licence or safety requirements. Access to CyclePass does not guarantee that you will be eligible to use every Provider's services.
4. Your account
You may need to create an account, verify your identity, or log in using a magic link, one-time code or other authentication method to use CyclePass.
You are responsible for keeping your account, device, login details, passcodes, one-time passwords, magic links and verification codes secure.
You must not allow anyone else to use your account. You must not use another person's account.
You should contact us as soon as possible if you believe:
- your account has been accessed without permission;
- your device has been lost or stolen;
- a voucher, code or redemption link has been shared, lost, misused or compromised; or
- any information in your account is incorrect.
We may suspend, restrict or terminate your account if we reasonably believe there has been unauthorised access, misuse, fraud, security risk or breach of this User Agreement.
5. Vouchers, codes and redemption links
CyclePass may provide access to voucher codes, redemption links, ride minutes, subscriptions, passes, credits or other benefits.
Unless we tell you otherwise:
- vouchers, codes and redemption links are issued for your personal use only;
- they must not be sold, transferred, copied, shared, exchanged for cash or used by another person;
- they may only be redeemed in accordance with the instructions provided;
- they may only be redeemable once;
- they may expire if not used within the relevant timeframe (24 months);
- once redeemed, they may be subject to the validity period set by the relevant Provider;
- they have no cash value;
- they may not be refundable; and
- they may not be replaceable if lost, deleted, expired, incorrectly redeemed, or used by someone else.
We may cancel, suspend, invalidate or refuse to replace any voucher, code, redemption link, pass, credit or benefit if we reasonably believe it has been:
- misused;
- copied;
- transferred;
- obtained in error;
- obtained fraudulently;
- shared with another person;
- redeemed by someone other than the intended user; or
- used in breach of this User Agreement.
6. Employer-funded benefits and salary sacrifice
Some users access CyclePass through their employer, a benefits platform, or another organisation.
Where this applies, your use of CyclePass may also be subject to additional terms, including:
- your employer's benefit rules;
- a salary sacrifice agreement;
- Cycle to Work scheme rules;
- benefits platform terms;
- tax requirements;
- product-specific terms; or
- any additional terms provided when you select or receive the benefit.
You are responsible for complying with any additional terms that apply to you.
If CyclePass is provided as part of a Cycle to Work arrangement, the benefit may need to be used mainly for qualifying journeys, such as commuting or work-related travel, in accordance with the relevant scheme rules.
Your employer, benefits platform or scheme administrator may tell us if your eligibility changes, for example if you cancel a selection, leave employment, change role, become ineligible, or stop participating in the relevant benefit.
Deleting the CyclePass app does not cancel any salary sacrifice arrangement, employer benefit, subscription, pass, Provider account or payment obligation. You must follow the relevant cancellation process provided by CycleSaver, your employer, your benefits platform or the relevant Provider.
7. Payments and charges
Some CyclePass benefits may be:
- funded by your employer;
- funded through salary sacrifice;
- provided by a partner organisation;
- provided by CycleSaver as a promotion; or
- purchased directly by you.
Where you are required to pay for a product or benefit directly, the price, payment terms and any relevant cancellation terms will be shown to you before purchase.
Providers may apply their own separate charges. These may include charges for:
- usage beyond your included minutes, credit or pass allowance;
- unlocking vehicles;
- reserving vehicles;
- pausing rides;
- parking outside permitted areas;
- leaving a vehicle in breach of Provider rules;
- damaged, lost or stolen vehicles;
- account verification;
- deposits;
- penalties; or
- any other fees set out in the Provider's terms.
You are responsible for checking and complying with any Provider charges before using the relevant service.
8. Availability and changes to CyclePass
We aim to keep CyclePass available and working properly, but we do not guarantee that the app will always be available, uninterrupted, secure, error-free or compatible with your device.
CyclePass may be unavailable because of maintenance, updates, technical issues, security issues, network problems, app store issues, Provider issues, or events outside our reasonable control.
We may update, change, suspend, restrict, withdraw or discontinue any part of CyclePass at any time.
We may also change the Providers, products, vouchers, passes, subscriptions, credits or benefits available through CyclePass.
9. Acceptable use
You must not:
- use CyclePass for any unlawful, fraudulent or harmful purpose;
- sell, transfer, copy, share, trade or misuse vouchers, codes, redemption links, passes or credits;
- attempt to redeem a voucher, code or link that was not issued to you;
- provide false, misleading or incomplete information;
- impersonate another person or organisation;
- access or attempt to access another user's account;
- interfere with the security, integrity or operation of CyclePass;
- bypass any usage limits, eligibility checks, security controls or redemption restrictions;
- scrape, crawl, reverse engineer, decompile, modify or misuse the app, except where allowed by law;
- upload, transmit or introduce malware, spam or harmful content; or
- use CyclePass in a way that could damage CycleSaver, CyclePass, Providers, employers, benefits platforms, partner organisations or other users.
10. Safe and lawful use of mobility services
You are responsible for using any bike, e-bike, scooter or other mobility service safely, responsibly and lawfully.
You should:
- follow all applicable road traffic laws and local rules;
- follow the relevant Provider's safety instructions;
- check that the vehicle appears safe before using it;
- use appropriate safety equipment where required or recommended;
- park responsibly and lawfully;
- avoid causing obstruction or nuisance;
- avoid using a vehicle if you are not fit to do so safely; and
- report any vehicle defects or incidents to the relevant Provider.
CyclePass is not responsible for your use of Provider vehicles or services.
11. App stores and devices
You are responsible for ensuring that your device, operating system, internet connection and app store account are suitable for using CyclePass.
Your use of CyclePass may also be subject to the terms of the relevant app store or platform, such as the Apple App Store or Google Play.
The relevant app store provider is not responsible for CyclePass, its content, support, maintenance, claims or your use of the app.
12. Intellectual property
CyclePass, including the app, software, design, branding, text, graphics, logos, interfaces, content and technology, belongs to us or our licensors.
We give you a limited, personal, non-exclusive, non-transferable, revocable licence to use CyclePass for your own lawful use in accordance with this User Agreement.
You must not copy, sell, reproduce, distribute, publish, modify, reverse engineer, exploit or create derivative works from CyclePass or its content, except where allowed by law or with our written permission.
13. Privacy
We will handle your personal data in accordance with our Privacy Policy.
We may collect, use and share information where necessary to:
- operate CyclePass;
- create and manage your account;
- issue vouchers, codes, links, passes or credits;
- manage redemptions;
- confirm your eligibility;
- provide customer support;
- prevent fraud, misuse or unauthorised access;
- process billing and reporting;
- administer employer-funded benefits;
- comply with legal obligations; or
- improve CyclePass.
Where CyclePass is provided through your employer, a benefits platform, a Provider or another partner organisation, we may share relevant information with those parties where necessary to provide, administer, support or report on the service.
14. Communications
We may contact you by email, SMS, push notification, in-app message or other available channels about:
- your account;
- vouchers, codes, redemption links, passes or credits;
- activation or expiry reminders;
- service updates;
- app changes;
- support requests;
- security matters;
- eligibility changes; or
- important information about CyclePass.
We may also send marketing communications where permitted by law. You can opt out of marketing communications at any time. You may still receive essential service messages even if you opt out of marketing.
15. Suspension and termination
We may suspend, restrict or terminate your access to CyclePass if:
- you breach this User Agreement;
- we suspect misuse, fraud, unauthorised access or security risk;
- your employer, benefits platform or relevant organisation tells us you are no longer eligible;
- a Provider withdraws, suspends or changes a relevant service;
- we need to protect CyclePass, CycleSaver, Providers, employers, benefits platforms, partner organisations or other users;
- we are required to do so by law; or
- we decide to withdraw CyclePass or a particular feature.
You may stop using CyclePass at any time.
Stopping use of CyclePass or deleting the app does not affect any rights or obligations that arose before you stopped using it.
16. Our liability
Nothing in this User Agreement excludes or limits liability where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above, we are not responsible for:
- Provider services, vehicles, apps, websites, systems or terms;
- your use or misuse of any Provider service;
- your failure to keep your account, device or login details secure;
- loss caused by incorrect, outdated or incomplete information you provide;
- loss caused by vouchers, codes, links, passes or credits being lost, shared, expired, misused or redeemed by someone else;
- loss caused by your failure to follow redemption instructions;
- business losses, loss of profit, loss of revenue, loss of goodwill or loss of opportunity;
- indirect, consequential or unforeseeable losses;
- issues outside our reasonable control; or
- failures of networks, app stores, payment systems, Provider systems or other third-party systems.
Where we are liable to you, our total liability will be limited to the greater of:
- the amount you personally paid to us for the relevant CyclePass service in the 12 months before the claim arose; or
- £100.
17. Changes to this User Agreement
We may update this User Agreement from time to time.
If we make material changes, we will take reasonable steps to notify you, for example through the app, by email, or by publishing the updated version.
The updated version will apply from the date shown at the top of the agreement. If you continue to use CyclePass after the updated version takes effect, you will be treated as having accepted it.
18. Transferring this User Agreement
We may transfer our rights and obligations under this User Agreement to another organisation, for example as part of a business sale, restructuring, merger or transfer of services.
You may not transfer your rights or obligations under this User Agreement without our written permission.
19. General terms
If any part of this User Agreement is found to be invalid, unlawful or unenforceable, the rest of the User Agreement will continue to apply.
If we do not enforce any part of this User Agreement straight away, this does not mean we cannot enforce it later.
This User Agreement does not give rights to anyone other than you and us, except where we transfer our rights as described above.
20. Governing law and jurisdiction
This User Agreement is governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in the courts where you live.
